South Africa’s Nedbank Group Limited has completed its acquisition of a 66% controlling stake in NCBA Group PLC, establishing a powerful new regional financial services platform and signaling renewed confidence in East Africa’s banking sector.
The transaction turns NCBA into a subsidiary of Nedbank while preserving its listing on the Nairobi Securities Exchange (NSE), where 34% of its issued shares remain publicly traded. The deal received all necessary regulatory approvals following strong investor demand.
The strategic tie-up links two major Pan-African banking platforms:
- NCBA Group: Serves over 60 million customers through 122 branches across six markets, Kenya, Uganda, Tanzania, Rwanda, Ivory Coast, and Ghana. The group holds market leadership positions in asset finance, corporate banking, and digital financial services.
- Nedbank Group: Dual-listed on the Johannesburg Securities Exchange (JSE) and Namibia Securities Exchange, Nedbank maintains a deep footprint across Southern Africa (including Namibia, Zimbabwe, Mozambique, Lesotho, and Eswatini) alongside offshore operations in London, Dubai, the Isle of Man, and Jersey.
The acquisition provides Nedbank with a direct foothold in East Africa’s high-growth economies, leveraging Kenya’s position as a regional financial and technological hub to facilitate cross-border trade and investment.
Despite the change in ownership, NCBA confirmed that operations will proceed without interruption:
- Operations & Leadership: NCBA retains its name, local executive management team, Nairobi headquarters, and branch network.
- Customer Services: Day-to-day banking arrangements, digital platforms, relationship management teams, and product lines remain fully operational.
- Workforce Opportunities: Employees will gain access to broader professional development, cross-market career advancement, and skill-sharing programs across Nedbank’s international network.
The buy-in saw heavy oversubscription during the tender period that closed on July 10, 2026. Shareholders offered 1,316,357,895 shares, representing 79.90% of total issued stock, exceeding Nedbank’s target 66% stake. Surpluses were scaled back on a pro-rata basis.
Settlement and execution will proceed according to the following timeline:
